Services Provided
BLUE WHALE TECHNOLOGIES offers IT and MSP services including (but not limited to) OEM support, cloud services, cybersecurity, NOC operations, technical staffing, and network engineering.
Services will be delivered as agreed under individual service agreements, statements of work (SOW), or contracts.
Client Responsibilities
Clients must provide accurate and complete information required to deliver services.
Clients are responsible for maintaining appropriate licenses, compliance, and access credentials related to their IT environment.
Clients agree not to misuse our services or engage in unlawful activities.
Service Availability
While we strive to ensure continuous availability, certain services may be affected by maintenance, upgrades, or external factors beyond our control.
BLUE WHALE TECHNOLOGIES is not liable for downtime caused by third-party providers, force majeure, or circumstances outside our reasonable control.
Fees and Payment
All fees are defined in the applicable service agreement or contract.
Payments must be made within the agreed timeline. Late payments may incur penalties or suspension of services.
All prices are exclusive of applicable taxes unless otherwise specified.
Confidentiality
Both parties agree to maintain confidentiality of all sensitive information shared during the course of engagement.
BLUE WHALE TECHNOLOGIES will not disclose client data to third parties except as required to provide services or as mandated by law.
Data Protection
We comply with applicable data protection laws and our Privacy Policy governs the handling of personal data.
Clients are responsible for ensuring they have the right to share data and content with us for service delivery.
Limitation of Liability
BLUE WHALE TECHNOLOGIES is not liable for indirect, incidental, or consequential damages arising from use of our services.
Our total liability for any claim is limited to the fees paid for the service in question.
Termination
Either party may terminate services with written notice as defined in the service agreement.
BLUE WHALE TECHNOLOGIES reserves the right to suspend or terminate services immediately if the client breaches these Terms.
Intellectual Property
All content, tools, and documentation provided by BLUE WHALE TECHNOLOGIES remain our intellectual property unless otherwise agreed in writing.
Clients retain ownership of their data and systems.
Amendments
We may update or amend these Terms from time to time. The updated version will be posted on our website with a new effective date.
